Madison Pacific Trust Limited ("Madison Pacific"), a leading independent provider of agency services, announced today that it has been appointrd as Agent, Security Agent and Shared Security Agent in the debt restructuring by Mongolian Mining Corporation (In Provisional Liquidation) ("MNC") and its subsidiaries.

MNC announced on May 5, 2017 the completion of its offshore debt restructuring which consisted the implementation of a Notes Restructuring, a Senior Secured Facilities Restructuring and a Promissory Notes Restructuring. The restructuring included the listing and issue of US$412,465,892 Floating Rate Notes due 2022 and US$195,000,000 Floating Rate Perpetual Notes.

Holly Yuen, Director of Madison Pacific and Head of our Singapore office, was recently featured in Global Restructuring Review's publication on 'Women in Restructuring'. The article highlighted a select number of prominent female practitioners within the restructuring and insolvency industry worldwide and surveyed each of their views on the industry as well as the efforts and achievements made in the workplace to promote diversity and gender equality.

Alastair MacAulay, principal of Madison Pacific Maritime Advisors, sopke recently at a seminar in Singpaore jointly hosted by the Women's International Shipping and Trading Association (WISTA) and the International Women's Insolvency and Restructuring Confederation (IWIRC). The seminar centred on the different stages of a distressed shipping company's insolvency cycle and included in-depth, practical discussions on cross-border enforcement options, forms of insolvency from receiverships and administration to liquidation and bankruptcy.

David Naphtali, Managing Director of Madison Pacific, spoke on a panel in Hong Kong offices of Clifford Chance on the topic of “Distressed Debt and Restructuring of High Yield Products”. The event was part of the Clifford Chance Hong Kong Perspectives Series and was held on 17 February 2016.

Prior to joining Madison Pacific, Donna was the Head of Loan Management, Asia Pacific for HSBC where she led teams of debt restructuring and recovery specialists in 20 jurisdictions across Asia. Before joining HSBC, Donna managed recovery teams at Standard Chartered Bank as Regional Head, Group Special Assets Management in South East Asia and Africa.

In these roles Donna worked on matters relating to global corporate groups, large corporations, and small to medium sized enterprises operating in industries including manufacturing, commodities, resources, services, transport, agriculture, and retail. The work included leading or participating in multi creditor and multi jurisdictional debt restructuring, refinancing, asset recovery, debt settlements, and fraud analysis. Donna has worked with bank groups, other financial creditors, lawyers, accountants, financial advisors, trustees, agents, and regulators.

Donna will be speaking on a panel which is to discuss what strategies should holders of Chinese offshore bonds pursue in upcoming restructurings.

Holly Yuen, Director of Madison Pacific, was asked to speak on a panel at the third Regional Insolvency Conference on September 16, 2016. Organised jointly by the Insolvency Practice Committee of the Law Society of Singapore and the Insolvency Practitioners Association of Singapore, the conference brought together leading legal, account and finance practitioners to address cross-border insolvency issues. Madison Pacific was also a sponsor for this session.

Holly was on a panel discussing “What matters and factors that determine success?”. The session explored the key issues to consider when drawing up and implementing financial restructuring plans, which include focusing on what really matters, being transparent and realistic on the plan, managing the restructuring process and effectively communicating with all relevant stakeholders. This session also discussed other critical success drivers like raising fresh funds, negotiation on re-financing and operational restructuring because unless liquidity can be generated, debt serviced on time and cost cutting implemented.

David Naphtali, Managing Director of Madison Pacific, participated in the IPP White Collar Boxing event held in Hong Kong on 24 September 2016 as well as winning his bout. He personally helped to raise over US$10,000 for the Children’s Surgical Centre, a nongovernmental organization that provides a range of specialised rehabilitation surgical services, surgical training, and direct support to the people of Cambodia - free of charge.

Holly Yuen, Director of Madison Pacific and Head of our Singapore office, was voted one of the 20 rising stars in the insolvency and restructuring advisory sphere in the Global Restructuring Review (“GRR”) 2016 survey. The survey focused on non-legal practitioners acting as “trustees, liquidators, receivers, administrators, and accounts and insolvency specialists” in cross-border restructuring and insolvency matters. The final 20 individuals were selected from nearly 100 nominations received from around the world and were based on the strongest impartial response received during the GRR’s research.

Jonathan Hatch, Managing Director of Madison Pacific, spoke at the IFLR Asia Capital Markets Forum 2016 held on December 1, 2016 in Hong Kong. The theme of the seminar was the key initiatives, developments and market trends for the next year, delving into topics such as panda bonds, high yield, and the increasing due diligence demands brought about by regional regulators. Jonathan Hatch spoke on a panel which discussed the top issues in enforcement and trustee roles.

David Naphtali, Managing Director of Madison Pacific, spoke on a panel at the Asia Transformation and Turnaround Association (“ATTA”) Mid-Year Conference in 2015 held on 12 June 2015 in Bangkok. Topics covered included a review of the Special Situations market in Asia, where capital is currently available and how to get it, as well as the challenges of lending into distressed opportunities and how lenders seek to mitigate those.

David has significant experience in managing a variety of transactions involving both distressed and non-distressed assets from both a legal and commercial/financial perspective in numerous jurisdictions including Hong Kong, China, Indonesia, India, Thailand, Taiwan, Vietnam and Australia.

Prior to joining Madison Pacific David was a Senior Managing Director in the Corporate Finance/ Restructuring Practice of FTI Consulting where he specialized in corporate advisory and M&A. Prior to that David worked as the VP Corporate Finance and Development at CLP Holdings Limited in Hong Kong where he was involved primarily in M&A and Project Development/Project Finance of power projects and assets throughout Asia Pacific.

The theme of the seminar was how to generate returns within Asia’s distressed sectors. Jonathan Hatch acted as a moderator for the session on whether China is ready for more real estate high yield bonds and trust product defaults. He also spoke on a panel which discussed methods to resolve intercreditor relationships during restructurings.

The Judicial Manager of Guangzhao Industrial Forest Biotechnology Group Limited (the “Company”) refers to the Notice of Judicial Manager to Creditors of First Meeting dated 13 July 2012 (the “Notice”), which was announced on SGXNET on 16 July 2012. 

Reference is also made to the Company’s announcement dated 4 July 2012 in relation to the entry by the Company into (i) a conditional subscription agreement with Shi Jiangang and Sam Kok Yin in relation to their subscription of 0% secured convertible notes to be issued by the Company (the “Subscription Agreement”) and (ii) a debt restructuring agreement with certain unsecured creditors of the Company (the “Debt Restructuring Agreement”). 

Further to the Notice, the Judicial Manager wishes to announce that such meeting was held on 30 July 2012 at 2.00pm and that the meeting unanimously resolved to approve the Statement of Proposal contained in the Judicial Manager’s report dated 13 July 2012. 

The Statement of Proposal was for the Company to proceed to take all actions required to be taken by the Company under the Subscription Agreement and Debt Restructuring Agreement and that the Company remains under judicial management until such time as appropriate to enable such actions to be taken as required or appropriate for the purposes of fulfilling the conditions precedents in the Subscription Agreement and Debt Restructuring Agreement.
